TOKIO–(BUSINESS WIRE)– Kioxia Holdings Corporation is een definitieve overeenkomst aangegaan met Toshiba Digital Solutions Corporation (een dochteronderneming van Toshiba Corporation TSE:6502) om alle uitstaande aandelen van haar dochteronderneming, Chubu Toshiba Engineering (CTE) Corporation, te verwerven, om de technologische ontwikkelingsmogelijkheden van de Kioxia Group verder te versterken. De overname van de aandelen zal in de eerste helft van 2022 worden afgerond, na afronding van de noodzakelijke procedures, en CTE wordt een volledige dochteronderneming van Kioxia Corporation.

CTE is gespecialiseerd in het ontwerpen, prototypen en evalueren van halfgeleidergerelateerde hardware en software en heeft veel ervaring in technologieën voor de productie van halfgeleiders, van ontwikkeling tot massaproductie, terwijl het gedurende vele jaren geavanceerde technische capaciteiten opbouwt. Het bedrijf heeft in het verleden ook zijn technische diensten geleverd aan Kioxia Corporation. De integratie van CTE brengt zeer ervaren technisch talent in de ontwikkeling van halfgeleiders in huis, terwijl kostenbesparingen mogelijk worden gemaakt die samen de bedrijfswaarde zullen verbeteren. De overname zal Kioxia’s technologische ontwikkelingsmogelijkheden verbeteren en synergieën opleveren tussen het ontwerp, de werking en de productie van zijn fabrieken.

TOKYO–(BUSINESS WIRE)– Kioxia Holdings Corporation has entered into a definitive agreement with Toshiba Digital Solutions Corporation (a subsidiary of Toshiba Corporation TSE:6502) to acquire all of the outstanding shares of its subsidiary, Chubu Toshiba Engineering (CTE) Corporation, to further strengthen Kioxia Group’s technology development capabilities. Acquisition of the shares will be completed in the first half of 2022, following completion of the necessary procedures, and CTE will become a wholly-owned subsidiary of Kioxia Corporation.

Specializing in semiconductor related hardware and software design, prototyping and evaluation, CTE is well-experienced in semiconductor manufacturing technologies covering areas from development to mass production while building sophisticated technical capabilities over many years. The firm has also provided its engineering services to Kioxia Corporation in the past. Integrating CTE brings in-house highly experienced engineering talent in semiconductor development while enabling cost efficiencies which together will improve enterprise value. The acquisition will enhance Kioxia’s technology development capabilities, as well as deliver synergies across the design, operation, and production of its manufacturing plants.
