MSCI voltooit privéaanbieding van $ 500 miljoen 4.000% senior notes vervallen 2029

NEW YORK– (BUSINESS WIRE) – MSCI Inc. (NYSE: MSCI), een toonaangevende leverancier van scherp afgestelde beslissingsondersteunende tools en services voor de wereldwijde investeringsgemeenschap, heeft vandaag aangekondigd dat het met succes zijn privéaanbod van $ 500 miljoen heeft voltooid. 4.000% senior notes (hierna: “notes”) met vervaldag 2029 (hierna: “Offering”). MSCI Completes Private Offering of $500 Million 4.000% Senior Notes Due 2029

NEW YORK–(BUSINESS WIRE)– MSCI Inc. (NYSE: MSCI), a leading provider of critical decision support tools and services for the global investment community, announced today that it has successfully completed its private offering of $500 million aggregate amount of its 4.000% senior notes (the “notes”) due 2029 (the “Offering”). The notes will mature on November 15, 2029.

MSCI intends to use the net proceeds from the Offering for general corporate purposes, including, without limitation, buybacks of its common stock and potential acquisitions.

On an adjusted basis, after giving effect to the Offering, MSCI expects its total interest expense, including the amortization of financing fees, to be approximately $147 million for the year ending December 31, 2019.

The notes were offered only to (i) persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and (ii) certain non-U.S. persons outside the United States pursuant to Regulation S under the Securities Act. The notes have not been registered under the Securities Act or any state securities laws and therefore may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws.
