MSCI Prices $500 Million 4.000% Senior Notes Due 2029

NEW YORK–(BUSINESS WIRE)– MSCI Inc. (NYSE:MSCI), a leading provider of critical decision support tools and services for the global investment community, announced today that it priced its private offering of $500.0 million aggregate amount of 4.000% senior unsecured notes due 2029 (the “notes”) at an issue price of 100% plus accrued interest from November 7, 2019, to yield 4.000% (the “Offering”). Interest on the notes will be 4.000%, and will be payable in cash semi-annually, beginning on May 15, 2020. The notes constitute a further issuance of, are fully fungible with, rank equally with and form a single series with the $500.0 million aggregate principal amount of the 4.000% senior notes due 2029 issued on November 7, 2019. The Offering is expected to settle on November 20, 2019, subject to customary closing conditions. MSCI intends to use the net proceeds from the Offering, together with available cash, for the partial redemption or repurchase of $500.0 million aggregate principal amount of its 5.250% senior notes due 2024, of which there is currently $800.0 million aggregate principal amount outstanding. The notes will be senior unsecured obligations of MSCI and will be guaranteed by MSCI and certain of its domestic subsidiaries.
