Westinghouse General Counsel geeft verklaring af over juridische procedure CB&I

PITTSBURGH–(BUSINESS WIRE) — In oktober 2015 heeft Westinghouse een koopovereenkomst bereikt met Chicago Bridge & Iron Company N.V. (CB&I) voor de overname van CB&I Stone en Webster Inc., CB&I’s onderdelen voor nucleaire constructie en geïntegreerde zakelijke diensten. Op 21 juli 2016 startte CB&I een juridische procedure tegen Westinghouse over de afwikkeling van de deal.

Maandag legde de Senior Vice President en General Counsel bij Westinghouse, Michael Sweeny, de volgende verklaring af in reactie op de juridische procedure die is aangespannen door CB&I.

‘’In de loop van afgelopen maanden hebben de twee partijen trouw het proces gevolgd rond de koopovereenkomst. Het is daarom verontrustend dat CB&I, na het akkoord en de tot op heden actieve deelname aan het proces, het nu ineens lijkt te willen verstoren. Wij zijn ervan overtuigd dat de koopovereenkomst alsnog in overeenstemming met de partijen zal worden gesloten.’’

 

Westinghouse General Counsel Issues Statement on CB&I Legal Proceeding

PITTSBURGH–(BUSINESS WIRE)– In October, 2015, Westinghouse entered into a Purchase Agreement with Chicago Bridge & Iron Company N.V. (CB&I) for the acquisition of CB&I Stone & Webster Inc., CB&I’s nuclear construction and integrated services businesses by Westinghouse. On July 21, 2016, CB&I initiated a legal proceeding against Westinghouse in Delaware Chancery Court with respect to the post-closing reconciliation process.

Today Westinghouse Senior Vice President and General Counsel Michael Sweeney issued the following statement in response to the legal proceeding brought by CB&I.

“Over the course of the past several months the two parties have been faithfully following the process explicitly set out in the Purchase Agreement between them. It is therefore troubling that CB&I, after agreeing to and actively participating in that process, is seeking to disrupt it. Nevertheless, we are confident that the transaction will be fully concluded in accordance with the Parties Purchase Agreement.”
