HanesBrands stelt prijs vast van in euro’s uitgedrukte obligaties

WINSTON-SALEM, N.C.–(BUSINESS WIRE)– HanesBrands Inc. heeft vandaag bekendgemaakt dat zijn indirecte, maar volledige dochteronderneming Hanesbrands Finance Luxembourg, een commanditaire vennootschap op aandelen (société en commandite par actions) volgens de wetten van het Groothertogdom Luxemburg, de prijs heeft vastgesteld van zijn uitgifte van ongedekte obligaties met een gezamenlijke waarde van 500 miljoen euro met 3,5 procent rente en vervaldatum in 2024, tenzij eerder afgelost. De waardepapieren worden op een preferente, ongedekte wijze gegarandeerd door Hanesbrands Inc. en bepaalde dochterondernemingen. De uitgifte is naar verwachting afgerond op 3 juni 2016 en onderworpen aan gebruikelijke marktvoorwaarden .

De totale waarde van de schuldpapieren van de eerder aangekondigde uitgifte is van 450 euro gestegen naar 500 miljoen euro. De netto-opbrengst van de obligatie-uitgifte wordt naar verwachting gebruikt voor de financiering van de reeds aangekondigde overnames van Champio Europe en de Pacific Brands Group, die deels worden bekostigd met voorradig contant geld en andere schuldfinancieringen.

 

HanesBrands Prices Offering of Euro-Denominated Notes

 

WINSTON-SALEM, N.C.–(BUSINESS WIRE)– HanesBrands Inc. (NYSE: HBI) today announced that its indirect wholly-owned subsidiary, Hanesbrands Finance Luxembourg S.C.A., a corporate partnership limited by shares ( société en commandite par actions) under the laws of the Grand Duchy of Luxembourg, has set the pricing of its offering of €500 million aggregate principal amount of 3.5 percent unsecured notes maturing 2024, unless earlier redeemed. The notes will be guaranteed on a senior unsecured basis by Hanesbrands Inc. and certain of its subsidiaries. This offering is expected to close on June 3, 2016, subject to customary closing conditions.

The aggregate principal amount of notes to be issued in the previously announced offering increased from €450 million to €500 million. Net proceeds from the offering are expected to be used, together with cash on hand and future debt financings, to finance the company’s previously announced acquisitions of Champion Europe and Pacific Brands Group.

The notes and the related guarantees will be offered in the United States to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act and to non-U.S. persons in reliance on Regulation S under the Securities Act. The offer and sale of the notes and the related guarantees have not been registered under the Securities Act or the securities laws of any state or other jurisdiction and may not be offered or sold absent registration or an applicable exemption from the registration requirements under the Securities Act and any applicable securities laws of any state or other jurisdiction.
